Heystak Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the products, services, applications, websites and related technologies provided by Heystak Pty Ltd (ABN 84 673 573 549) (“Heystak”, “we,” “us,” or “our”), including but not limited to the Heystak platform, analytics tools, dashboards and other online services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms.
If you are accessing or using the Services on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
Acceptance of Terms
By using our Services, you agree to these Terms and to any additional terms referenced herein. If you do not agree with these Terms, you should not access or use the Services.
Eligibility
You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this eligibility requirement.
Accounts and Registration
To access certain features of the Services, you may be required to create an account and provide accurate and complete information.
You are responsible for:
maintaining the confidentiality of your account credentials;
all activities that occur under your account;
updating your account information to keep it accurate and complete.
You agree to notify us immediately of any unauthorised use of your account.
Use of the services
Subject to your compliance with these Terms, Heystak grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes.
Prohibited Uses
You agree not to:
Use the Services in any unlawful way, or in violation of applicable laws or regulations.
Interfere with or disrupt the integrity or performance of the Services.
Attempt to gain unauthorised access to any part of the Services, other accounts, or computer systems.
Use the Services to transmit malicious code or harmful content.
Subscriptions and Payments
Some parts of the Services may require a subscription or payment. If you purchase a subscription:
You agree to pay all applicable fees.
Payments are non-refundable except as required by law.
We may automatically renew subscriptions unless you cancel before the renewal date.

Intellectual Property
All content provided through the Services, including text, software, designs, graphics, logos, icons, images, and other materials (“Content”) is the property of Heystak or its licensors and is protected by copyright, trademark and other intellectual property laws.
You may not copy, distribute, modify, reverse engineer, or create derivative works from our Content except as expressly permitted in writing by Heystak.
User Content
You retain ownership of any content you upload, submit or publish through the Services (“User Content”).
By submitting User Content, you grant Heystak a worldwide, royalty-free, non-exclusive licence to host, use, copy, distribute, modify and display that User Content solely to provide the Services.
You represent and warrant that:
You own or have the necessary rights to upload or submit the User Content.
The User Content does not violate any third-party rights, applicable laws, or these Terms.
Feedback
If you provide feedback, suggestions or ideas related to the Services (“Feedback”), you grant Heystak a worldwide, royalty-free, perpetual, irrevocable licence to use and incorporate the Feedback in any way.
Confidentiality
“Confidential Information” includes non-public information that is designated as confidential or that reasonably should be understood as confidential. Confidential Information does not include information that:
Is publicly known at the time of disclosure;
Becomes publicly known through no fault of the receiving party;
Is independently developed without reference to the other party’s information.
Both parties agree to maintain confidentiality of the other’s Confidential Information.
Privacy
Your use of the Services is also governed by the Heystak Privacy Policy available at:

By using the Services, you consent to the collection and use of information as outlined in that policy.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. HEYSTAK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEYSTAK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF DATA, PROFITS OR REVENUE, ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO HEYSTAK IN THE LAST 12 MONTHS OR AUD 100, WHICHEVER IS GREATER.
Indemnification
You agree to indemnify, defend and hold harmless Heystak and its affiliates, officers, directors, employees and agents from any loss, liability, claim, demand, damage or expenses (including reasonable legal fees) resulting from:
Your use of the Services;
Your violation of these Terms;
Your violation of any applicable law; or
Third-party claims arising from your User Content.
Termination
Heystak may suspend or terminate your access to all or part of the Services at any time, with or without cause, and with or without notice.
Upon termination:
Your right to access the Services will end;
All licences granted under these Terms will immediately terminate.
Governing Law
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia.
Changes to Terms
We may update these Terms from time to time. Updated terms will be posted on our website with a revised “Last Updated” date. Continued use of the Services after changes constitutes acceptance of the new Terms.
